TERMS OF SERVICE

1. Your Relationship with Us

Welcome to Luckimo (the "Platform" or "App"), operated and provided by GATHERJOY PTE. LTD., a company incorporated under the laws of Singapore (referred to herein as "we", "us", or "our").

These Terms of Service (the "Terms") govern your access to and use of Luckimo, including our related applications, games, features, digital content, interactive services, and online community services (collectively, the "Services").

For the purposes of these Terms, "You" and "Your" refer to you as an individual user of the Services. The Services provided are for private, non-commercial entertainment use only. These Terms constitute a legally binding agreement between you and GATHERJOY PTE. LTD. Please read them carefully.

2. Acceptance of Terms & Age Eligibility

2.1 By creating an account, downloading, installing, or using our Services, you agree to be bound by these Terms, our Privacy Policy, and any additional rules, guidelines, or end-user license agreements (EULA) posted on our Platform or designated app stores.

2.2 Our Services are intended exclusively for users aged 16 and older. By using the Services, you represent and warrant that you meet this age requirement. If you are under 16 years of age (or the legal age of majority in your jurisdiction), you represent that you have reviewed these Terms with your parent or legal guardian and obtained their consent to agree to these Terms.

2.3 We maintain strict compliance with global child protection regulations. If we discover or have reason to suspect that an account belongs to an individual under 16 years of age without verifiable parental consent, we will immediately terminate the account and erase all associated personal data. Parents or guardians who discover that their child under 16 has created an account may contact us at support@gatherjoypte.com for immediate deletion.

2.4 The Services are not available to, and may not be accessed, downloaded, purchased, or used, directly or indirectly, in or from any country, territory, or jurisdiction subject to comprehensive sanctions, embargoes, or restrictive measures imposed by the United Nations, the Republic of Singapore, the United States, the European Union, or other applicable governmental authorities (collectively, "Sanctioned Jurisdictions").By accessing or using the Services, You represent, warrant, and covenant that:

• You are not located in, ordinarily resident in, or operating on behalf of any entity located in any Sanctioned Jurisdiction (including, without limitation, Cuba, Iran, North Korea, Syria, Russia, Belarus, and the Crimea, Donetsk, Luhansk, Kherson, and Zaporizhzhia regions of Ukraine);
• You are not identified on, owned or controlled (50% or more) by, or acting on behalf of any individual or entity listed on any restricted or designated party list, including but not limited to the U.S. Treasury Department's Specially Designated Nationals (SDN) List or Entity List, the EU Consolidated Financial Sanctions List, or Singapore’s Targeted Financial Sanctions lists; and
• You will not use, export, re-export, or transfer the Services in violation of any applicable export controls and economic sanctions laws.

We reserve the right to immediately restrict, suspend, or terminate Your Account and block access to the Services, without prior notice, if we detect or suspect access from a Sanctioned Jurisdiction or any non-compliance with applicable law. We shall not be liable for any losses, damages, or claims resulting from such compliance actions.

3. Changes to Terms and Services

We reserve the right to amend, update, or modify these Terms at any time. When material changes are made, we will use commercially reasonable efforts to notify you in advance through in-app notifications, pop-up banners, or emails sent to your registered contact address. We will also update the "Last Updated" date at the top of these Terms.Your continued access to or use of the Services after the effective date of the revised Terms constitutes your irrevocable acceptance of the new Terms. If you do not agree to any updated provision, you must immediately cease accessing and using the Services and cancel your account.

4.Account Creation and Management

4.1 To access certain features of the Platform, you may be required to register an account ("Your Account"). Registration may occur via phone number, Apple ID, Google ID, or other authorized third-party authentication services. You agree to provide accurate, current, and complete information during registration.

4.2 Your Account is personal to you and for non-commercial use only. You are strictly prohibited from selling, buying, renting, leasing, licensing, trading, gifting, or transferring Your Account or any user identifiers (such as User IDs) to any third party. All User IDs remain our property, and we retain the right to reclaim, disable, or reassign them upon account deactivation or termination.

4.3 You are solely responsible for maintaining the confidentiality and security of your account credentials, including your passwords, phone numbers, or linked third-party account information, and all activities and operations conducted through Your Account.If you lose access to your account, or if you know or suspect that your account or credentials have been compromised, please notify us immediately at support@gatherjoypte.com. Unless and until we receive and confirm such notification, all activities conducted under Your Account will be deemed to have been authorized by you, we are not liable for any losses caused by unauthorized use of Your Account prior to our confirmed receipt of your notice.

4.4 We reserve the right to temporarily suspend, restrict, or permanently deactivate Your Account, with or without prior notice or liability, if:

• You fail to comply with any provision of these Terms;
• Your account activity, in our reasonable discretion, causes or may cause damage, injury, or disruption to the Platform;
• Your actions violate any third-party rights or applicable laws and regulations; or
• Mandated by court orders, law enforcement bodies, or legal regulatory requirements.

4.5 If you no longer wish to use our Services, you may request to delete your account through either of the following methods:

• In-App Deletion: You can initiate the deletion process directly within the application by navigating to Me > Settings > Account and security > Cancel Account; or
• Email Request:You may submit an account deletion request by emailing us at support@gatherjoypte.com.

Please note that account deletion is permanent and irreversible. Upon completion of the deletion process, Your Account will be permanently deactivated. You will lose access to all associated data, including but not limited to profile details, service/game progress, chat history, and customized settings.Furthermore, any remaining virtual items, virtual currencies, active paid memberships, or accrued benefits will be irrevocably forfeited, with no option for refund or restoration. Personal data associated with Your Account will be deleted or anonymized in compliance with applicable laws, subject only to data that must be retained pursuant to legal, regulatory, or operational requirements.

5. Your Content

5.1 "Your Content" refers to any text, images, audio, video, communications, profile information, or other media/materials that you submit, upload, transmit, or display on or through our Services. You retain ownership of Your Content. You are solely responsible for Your Content and the consequences of sharing it. We strongly recommend keeping personal backups of Your Content at all times.

5.2 You expressly agree that Your Content MUST NOT contain, depict, promote, or facilitate any of the following:

• Depicts, promotes, facilitates, or encourages child sexual abuse, child sexual exploitation and abuse (CSAE), child grooming, or any form of physical, emotional, or sexual harm against minors. We maintain a strict zero-tolerance policy against CSAM/CSAE and will immediately report any suspected violations to relevant law enforcement agencies and organization(s) such as the National Center for Missing & Exploited Children (NCMEC).
• Exploits, endangers, or threatens minors in any way, collects personal data of minors under the age of 16 without verifiable parental consent, or targets minors with inappropriate or harmful material.
• Contains excessively violent, graphic, or gruesome material; promotes, incites, or depicts violence or physical harm against humans or animals; encourages or provides instructions on self-harm, suicide, or eating disorders; or depicts, supports, or promotes terrorism, violent extremism, or hate groups.
• Promotes, sells, facilitates the sale of, or provides instructions on manufacturing or acquiring regulated or illegal items, including but not limited to firearms, weapons, explosives, illegal drugs, controlled substances, tobacco, prescription medications, or counterfeit goods.
• Contains explicit sexual content, nudity, pornography, non-consensual sexual content, or sexually suggestive material targeting or involving individuals.
• Promotes discrimination, bigotry, racism, hatred, harassment, bullying, intimidation, or violence against any individual or protected group based on race, ethnicity, nationality, religion, disability, age, gender, gender identity, or sexual orientation.
• Infringes upon any copyright, trademark, patent, trade secret, moral right, or other intellectual property, proprietary, or privacy rights of any third party.
• Is unlawful, defamatory, libelous, fraudulent, or deceptive; promotes illegal gambling, pyramid schemes, money laundering, human trafficking, or other illegal or criminal activities.
• Impersonates any person or entity, misrepresents your affiliation with any person or entity, or spreads malicious misinformation, disinformation, or deceptive deepfakes intended to mislead or harm others.
• Contains viruses, malware, trojan horses, worms, spyware, unauthorized spam, automated bots, phishing links, or unauthorized advertising; or attempts to interfere with, disrupt, or gain unauthorized access to our Services, servers, networks, or other users' accounts and personal data.

5.3 By submitting or posting Your Content, you grant us and our affiliates a non-exclusive, worldwide, royalty-free, perpetual, transferable, and sub-licensable license to host, store, use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and publicly display Your Content. This license is granted solely to operate, provide, promote, develop, and improve our Services. We will not sell Your Content to non-affiliated third parties for their independent marketing purposes. To the maximum extent permitted by law, you waive any "moral rights", privacy rights, or publicity rights in Your Content for these uses (unless restricted by in-app privacy settings).

5.4 You represent and warrant that: (i) You own or possess all necessary rights, permissions, and clearances to post Your Content and grant us the rights above; (ii) Your Content is non-confidential and non-proprietary; and (iii) Your Content does not violate any third-party rights or applicable laws. You agree to defend, indemnify, and hold harmless GATHERJOY PTE LTD, its affiliates, directors, officers, employees, and agents against any claims, damages, liabilities, losses, or expenses (including reasonable legal fees) arising from Your Content or your breach of these Terms.

5.5 We do not undertake any general obligation to pre-screen, monitor, or edit Your Content; however, to ensure a safe and lawful platform environment, we may utilize automated technologies, human moderation, or user feedback to inspect content uploaded, posted, or transmitted on the Platform. We reserve the absolute right to review, flag, filter, modify, refuse, block, obscure, disable access to, or delete any of Your Content at our sole discretion, with or without prior notice or liability, if it violates these Terms or any applicable policies, infringes upon any third party’s intellectual property, privacy, or personal rights, is deemed illegal, abusive, defamatory, obscene, deceptive, hateful, or harmful, or impairs the integrity, security, or proper operation of the Platform.

5.6 If you discover any content or user activity that violates applicable laws or these Terms, you may report it directly to us through the in-app reporting feature or by emailing support@gatherjoypte.com. We will review such reported matters in accordance with our legal obligations and take appropriate enforcement actions within a reasonable timeframe.

6. Prohibited Activities

6.1 In addition to the content restrictions set forth in Section 5, you agree that you will NOT, under any circumstances, engage in any of the following unauthorized or prohibited activities while accessing or using our Services:

• Decompile, reverse-engineer, disassemble, decipher, or otherwise attempt to derive or access the source code, underlying algorithms, structure, or trade secrets of the Platform or Services;
• Bypass, modify, defeat, tamper with, or circumvent any security controls, digital rights management, user authentication, or access limits implemented on the Services;
• Introduce, transmit, or distribute viruses, trojan horses, worms, logic bombs, ransomware, or any other malicious code, files, or programs designed to interrupt, damage, limit, or interfere with the functionality of any software, hardware, or telecommunications equipment;
• Probe, scan, or test the vulnerability of our systems, networks, or servers, or breach any security or authentication measures without express written authorization;
• Use, develop, distribute, publish, or advertise any cheats, hacks, mods, exploits, automation software, bots, emulators, macro scripts, or unauthorized third-party software designed to modify, automate, or interfere with the normal operation, gameplay, matchmaking, or scoring systems of the Services;
• Exploit, leverage, or share software bugs, glitches, vulnerabilities, or systemic errors for unearned advantages, unauthorized Virtual Items, or unfair progression within the Services;
• Manipulate, alter, or spoof device identifiers, IP addresses, location data, or system parameters to bypass regional restrictions, access limits, or account suspensions;
• Use any spider, crawler, bot, scraper, or other automated or manual process to monitor, extract, copy, harvest, or index any data, text, graphics, user profiles, or content from the Platform without our express written consent;
• Frame, mirror, or utilize framing techniques to enclose any trademark, logo, or other proprietary information of the Platform;
• Rent, lease, sub-license, sell, trade, gift, assign, or otherwise transfer Your Account, Virtual Items, virtual currencies, or access to the Services to any third party for real money or unauthorized commercial gain;
• Use the Services or its communication features for unauthorized commercial purposes, including posting advertisements, spam, multi-level marketing (MLM), chain letters, or commercial solicitations;
• Engage in unauthorized third-party top-ups, illicit virtual currency exchanges, or chargeback and refund fraud;
• Take any action that imposes an unreasonable load on our infrastructure, or disrupt, overburden, attack, or impair the proper working, security, or performance of the Platform or connected networks;
• Harass, stalk, bully, intimidate, extortionately demand, or threaten physical or financial harm against other users or our staff;
• Collect, store, harvest, or publish (dox) personal sensitive data of other users without their express, verifiable consent;
• Impersonate or misrepresent your affiliation with our platform, company, staff, moderators, or official representatives, or utilize the Services to execute scams, fraud, phishing, or deceive other users;
• Use the Services to organize, participate in, facilitate, encourage, or promote any illegal, fraudulent, or criminal activities, including money laundering, illegal gambling, or unauthorized financial transactions;
• Solicit account credentials, passwords, or personal financial details from other users under false pretenses;
• Create, register, or control multiple or automated fake/batch accounts to farm, harvest, or artificially accumulate Virtual Items, rewards, referral bonuses, promotional vouchers, or event benefits;
• Abuse, exploit, or manipulate any promotional offers, rebate schemes, referral programs, incentive tasks, or platform events through collusion, deceptive methods, false transactions, or bad-faith interactions;
• Engage in any other acts, practices, or schemes that, as determined by us in our sole discretion, violate the spirit or intent of these Terms, undermine the operational integrity, fair-play environment, or economic stability of the Services, or otherwise cause legal liability, financial loss, reputational damage, or harm to us, our affiliates, partners, or users.

6.2 If we determine, at our sole discretion, that you have violated any of the prohibited activities listed above or any other provision of these Terms, we reserve the right to take one or more of the following enforcement measures without prior notice or liability:

• Issue a formal warning or notice regarding the violation;
• Reclaim, deduct, reset, or confiscate any illicitly obtained progress, scores, rewards, Virtual Items, or virtual currencies;
• Temporarily suspend or permanently terminate Your Account, and ban your device, IP address, or identity credentials from accessing the Services; or
• Report your activity to law enforcement agencies or regulatory authorities, and pursue civil, criminal, or injunctive legal remedies against you for damages caused.

6.3 If you disagree with any enforcement action taken against your account, you have the right to submit an appeal by contacting us at support@gatherjoypte.com with your account details, the notification received, and clear facts/evidence supporting your appeal. We will review your submission in good faith and notify you of our final determination within a reasonable timeframe. The enforcement action will remain in effect during the appeal review process.

7.Payment & Virtual Items

7.1 The Services may allow you to purchase or earn virtual items, game tokens, virtual coins, or digital goods (collectively, "Virtual Items").Virtual Items have no monetary value, do not constitute real-world currency, legal tender, or personal property, and cannot be redeemed, exchanged, or converted into real money, real-world goods, or services outside the Platform.

7.2 You receive a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to use Virtual Items solely within the Services for your personal entertainment. You are strictly prohibited from selling, gifting, trading, or transferring Virtual Items outside the Platform, buying Virtual Items through unauthorized third-party channels, or using Virtual Items for any illegal or gambling purposes. We reserve the absolute right to manage, regulate, control, modify, or eliminate Virtual Items, or correct pricing and display errors, at our sole discretion without prior notice or liability to you.

7.3 Virtual Items do not accrue interest and are not property in which you have a vested right. Unless otherwise required by applicable law, all Virtual Items and unconsumed virtual balances associated with Your Account will be automatically forfeited and permanently eliminated upon the deletion, termination, or deactivation of Your Account, or upon the permanent discontinuation of the Services by us, without entitlement to any compensation or refund.

7.4 All purchases of Virtual Items or paid services are conducted through authorized third-party billing channels (e.g., Apple App Store, Google Play Store,). You agree to pay all fees and applicable taxes incurred under Your Account. The prices, packages, and availability of Virtual Items are subject to change at any time without prior notice.

7.5 Except as expressly required by applicable mandatory laws or or official policies of the Apple App Store / Google Play Store:

• All purchases of Virtual Items or paid subscriptions are final, non-refundable, and non-exchangeable under any circumstances;
• If a payment is refunded, reversed, charged back, or flagged as fraudulent by a payment provider or store platform after Virtual Items have been credited to Your Account, we reserve the right to deduct the corresponding Virtual Items, adjust your balance to negative, or immediately suspend/terminate Your Account; and
• You are solely responsible for all financial transactions conducted through Your Account, including unauthorized purchases made by minors or third parties using your credentials.

8.Intellectual Property

8.1 All rights, titles, and interests in and to the Platform and Services—including but not limited to all software, source code, object code, algorithms, visual interfaces, graphics, text, designs, audio-visual effects, trademarks, service marks, logos, domain names, virtual items, and proprietary content (excluding Your Content)—are owned by or licensed to us and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Subject to your strict compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to download, access, and use the Platform for your personal, non-commercial entertainment purposes on compatible devices. You acquire no ownership rights in the Platform or Services other than the limited license expressly granted herein.

8.3 You retain ownership of any intellectual property rights you hold in Your Content. However, by submitting, posting, uploading, or displaying Your Content on or through the Platform, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to host, use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display Your Content in connection with the operation, provision, promotion, and improvement of the Platform and Services.

8.4 We respect the intellectual property rights of others. If you believe that any content hosted on the Platform infringes upon your copyright or trademark rights, please send a written notice of copyright/IP infringement to our designated agent at support@gatherjoypte.com. Your notice should include:

• Identification of the copyrighted work or trademark claimed to have been infringed;
• Identification of the infringing material on the Platform and information reasonably sufficient to permit us to locate it;
• Your contact information (name, address, telephone number, and email address); and
• A statement of good faith belief and authorization from the rights holder.

9. Indemnification

You agree to defend, indemnify, and hold harmless us, our parent companies, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, and consultants from and against any and all third-party claims, demands, liabilities, costs, damages, losses, and expenses (including reasonable legal and attorney's fees) arising out of or in any way connected with:

• Your access to, use of, or misuse of the Services or Platform;
• Any breach or alleged breach of these Terms by you (or any user operating under Your Account), including any violation of your obligations, representations, or warranties;
• Any of Your Content submitted, posted, uploaded, or transmitted through the Platform, including claims of intellectual property or privacy infringement; or
• Your violation of any applicable laws, rules, regulations, or third-party rights.

10.Disclaimer of Warranties & Limitation of Liability

10.1 Nothing in these Terms shall exclude or limit any statutory rights or remedies that cannot be contractually waived, altered, or restricted under applicable mandatory consumer protection laws. You will always retain all statutory rights granted to you as a consumer.

Except as expressly provided herein, the Services, Platform, Virtual Items, and all content provided therein are made available on an "AS IS" and "AS AVAILABLE" basis, without warranties or conditions of any kind, whether express, implied, or statutory.

To the maximum extent permitted by applicable law, we expressly disclaim all warranties and conditions of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, quiet enjoyment, and accuracy.In particular, we make no representation, warranty, or guarantee that:

• Your access to or use of the Services will meet your requirements or expectations;
• Your use of the Services will be uninterrupted, timely, secure, error-free, or free of harmful components such as viruses or bugs;
• Any information, data, or results obtained through the use of the Services will be accurate, complete, reliable, or up-to-date; or
• Defects, errors, or technical glitches in the operation, software, or functionality of the Platform will be corrected.

We reserve the right to modify, suspend, restrict, withdraw, or limit the availability of all or any portion of our Platform and Services at any time, with or without notice, for operational, security, maintenance, or business reasons, without incurring any liability to you.

10.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GATHERJOY PTE LTD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICES.IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (I) THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (II) ONE HUNDRED SINGAPORE DOLLARS.

11. Termination

We reserve the right to temporarily or permanently suspend, disable, or terminate Your Account, or restrict, limit, or revoke your access to all or any portion of the Services, with or without prior notice or liability to you, under any of the following circumstances:

• We reasonably believe, or have objective grounds to suspect, that you have violated, or are about to violate, any provision of these Terms, including any integrated agreements, rules, community guidelines, policies, or applicable laws and regulations;
• Your Account activity, in our sole and reasonable discretion, causes or threatens to cause harm, injury, financial loss, or reputational damage to us, the Platform, or the Services, or infringes upon any third-party rights (including intellectual property, privacy, or publicity rights);
• In response to valid law enforcement requests, court orders, subpoenas, or orders from competent governmental or regulatory agencies under legal procedures;
• In cases of unexpected technical failures, system maintenance, security threats, network attacks, or operational emergencies; or
• Your Account has remained inactive or dormant for an extended period of time as determined by our internal policies.

If we permanently terminate or close Your Account, we will make commercially reasonable efforts to inform you in advance so that you may access and export your information or content, unless we reasonably believe that providing such notice or access would: (i) cause harm, loss, or liability to us, our affiliates, or the Services; (ii) violate the instructions or legal requirements of law enforcement or governmental agencies; or (iii) infringe upon applicable laws, regulations, or third-party rights.

Subject to any mandatory legal rights granted to you under applicable laws, upon the temporary or permanent suspension, restriction, or termination of Your Account, your license and right to access your account credentials (including your username and password) as well as any associated data, Virtual Items, or content will be immediately suspended or revoked. Because we do not guarantee the permanent storage or availability of Your Content, you are strictly advised to back up any data or content you value at all times.

If you no longer wish to use our Services, you may voluntarily delete Your Account at any time by following the procedures set forth in Section 4 (Account Creation and Management).

12.Governing Law & Dispute Resolution

12.1 These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

12.2 Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Singapore (or, where applicable, settled via binding arbitration in Singapore).

12.3 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY WAIVE ANY RIGHT TO BRING, JOIN, INITIATE, OR PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, REPRESENTATIVE ACTION, OR GROUP CLAIM AGAINST US, OUR AFFILIATES, DIRECTORS, OFFICERS, OR EMPLOYEES. THE COURT OR ARBITRATOR SHALL NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
